Universal Ibogaine Inc (UI) and capital pool company P Squared Renewables Inc (PSQ) announced that they had brought on board US investment bank Boustead Securities LLC to participate in the closing of their $6 million go-public financing raise. The offering is part of PSQ’s announced proposed qualifying transaction involving the creation of the Universal Ibogaine and PSQ business combination, and PSQ’s related application for the acceptance of the qualifying transaction by the TSX Venture Exchange. Boustead, which specializes in early-stage financings, will participate as a placement agent in the PSQ offering and has an option to fund a separate Universal Ibogaine financing. 

PlantX Life Inc (CSE:VEGA) (OTCQB:PLXTF) (FRA:WNT1) announced it has agreed to acquire certain assets of Liv Marketplace LLC, via its wholly-owned New Deli Hillcrest LLC subsidiary, for about US$3.2 million in cash and stock. The company said Liv Marketplace is the exclusive online fulfillment partner and retail distributor of PlantX products within the US and is responsible for building and operating PlantX’s 4,515-square-foot brick-and-mortar retail store in San Diego, California.

CleanSpark Inc (NASDAQ:CLSK) has announced that CEO Zach Bradford and executive chairman Matt Schultz will be participating in the Water Tower Research Virtual Conference and Fireside Chat Series on Monday, June 7, 2021, at 1pm ET. Topics covered will include the company’s recent partnership agreements, shelf registration, small-cap index rebalances and more. The conversation will be moderated by Shawn Severson, Water Tower’s Head of Sustainable Investing. Predictiv AI Inc (CVE:PAI) (OTCPINK:INOTF) (FRA:71TA) has announced that it and Commersive Solutions Corp have entered into a shareholders agreement for SMRT Labs Inc, the holding company for contactless temperature scanning system ThermalPass. SMRT is 51% owned by Predictiv AI and 49% by Commersive. Both companies have agreed to provide SMRT with loans, as required according to their respective ownership interests to advance the development and commercialization of ThermalPass. Predictiv AI has agreed to issue to Commersive 1,818,181 purchase warrants and 1,136,363 shares.

TRACON Pharmaceuticals Inc (NASDAQ:TCON) has presented updated data from its Phase 1 study of TJ004309 (uliledlimab) and Tecentriq (atezolizumab) at the American Society of Clinical Oncology (ASCO) virtual annual meeting. In poster presentation 2511 — entitled “The safety, pharmacokinetics (PK), pharmacodynamics (PD) and clinical efficacy of uliledlimab (TJ004309), a differentiated CD73 antibody, in combination with atezolizumab in patients with advanced cancer” — the company said data were presented from 20 refractory cancer patients with advanced or metastatic solid tumors treated with the combination of uliledlimab and atezolizumab. Uliledlimab was safe and well-tolerated up to 20 milligrams of drug per kilogram of body weight (mg/kg) every three weeks (Q3W) and 15 mg/kg once weekly (QW) as a monotherapy and in combination therapy with atezolizumab 1200 mg Q3W. 

GGX Gold Corp (CVE:GGX) (OTCQB:GGXXF) (FRA:3SR2) announced that planning has begun for the upcoming 2021 exploration program at its 100% owned Gold Drop property in the Greenwood Mining Camp of British Columbia. The company said the 2021 field season will consist of diamond drilling, prospecting, and rock sampling activities.

Alpine 4 Holdings Inc (OTCQB:ALPP) announced that its subsidiary, Alternative Laboratories LLC, has secured new production orders worth $2 million to be completed in June and July. The new projects bring Alt Labs’ backlog total to $5.8 million in production work. The company working on around 40 new formulas and is in the process of expanding its R&D staff to keep up with the influx. Additionally, with the addition of a second 800kg double cone blender, Alt Labs has more than enough capacity to accommodate its current and new clientele, the company said. 

GreenBank Capital Inc (CSE:GBC) (OTCPINK:GRNBF) (FRA:2TL) clinched the prestigious Capital Finance International (CFI.co) 2021 Award for being the “Most Innovative Merchant Bank” in Canada. The Valens Company Inc (TSE:VLNS) (OTCQX:VLNCF) (FRA:7LV) said it has increased its total addressable market in Canada with the launch of a host of new products in partnership with Verse Cannabis under the Verse Originals and Verse Concentrates lines. The new products include pre-roll and flower (at the request of the company’s customer base), and also includes the Double Chocolate Brownie – one of the first confectionery products of its type to hit the Canadian recreational market, said Valens. 

Versus Systems Inc (NASDAQ:VS) (FRA:BMVB) has completed its previously announced $15.2 million cash and stock acquisition of Xcite Interactive Inc, the company announced. The acquisition was completed through a merger of Versus’ wholly-owned subsidiary with Xcite, the company said. Versus will add its proprietary prizing engine to Xcite’s newly developed XEO fan engagement platform, which is already in use with multiple professional sports teams and live major events. This rewards-based engagement will expand into TV and streaming while capitalizing on Xcite’s connections with more than 150 sports teams and brands, the company said.

BMEX Gold Inc (CVE:BMEX) (FRA:8M0) (OTCQB:MRIRF) announced that its shareholders have approved all the agenda items that came up before them at the annual general meeting, including the appointment of Wanda Cutler as a new director to the company’s board.  The junior Canadian mining exploration company said all the agenda items in the company’s circular dated June 1 were approved by the requisite majority of votes cast at the meeting. At least 16 million shares, or 27.38% of the outstanding shares of the company, were present in-person, or by proxy vote at the AGM. “At the meeting, Wanda Cutler was appointed as a new member of the board of directors and all incumbent directors were reappointed,” said the company. 

Forward Water Technologies Inc, the Canadian wastewater treatment company, has inked a definitive agreement with Hope Well Capital Corp to take the company public on the TSX Venture Exchange by way of a reverse takeover. The transaction – first announced in February 2021 – is structured as a three-cornered amalgamation that will see the resulting company operate as Forward Water Technologies Corp. The Toronto-based company is commercializing its proprietary forward osmosis technology that allows manufacturing operations to clean their wastewater and reclaim up to 90% of the waste as clean water.
