Thomson Reuters announces results of debt tender offer

Business news agency Thomson Reuters Corp (NYSE:TRI) announced Wednesday the early tender results for its previously announced cash tender offer to purchase up to US$650mln in debt securities.

The company said in a statement that since more than the maximum amount of notes was validly tendered, Thomson Reuters expects to accept for purchase approximately US$650mln principal in the amount of notes.

They include the 4.50% notes due May 2043 where the Principal Amount Outstanding Prior to the Tender Offer reached US$350 million and the Principal Amount Tendered as of the Early Tender Deadline reached US$230.955mln. The next is the 3.95% note due September 2021 of $350 million prior to the tender offer and $211.106 million after the offer.

The rest are the 3.85% notes due September 2024, the 3.35% notes due May 2026, and the 4.3% notes due November 2023.

Holders whose notes were validly tendered and not withdrawn at or before the early tender deadline and are accepted for purchase will receive the consideration to be calculated at 11:00 am ET on October 3, 2018. The settlement for these notes is expected to take place on October 5, 2018.

Shares of Thomson Reuters were up 5.15% at US$47.04 in New York. In Canada, the shares were up 5.11% to C$60.29.
